After friendly consultation, the two sides reached the following agreement on the basis of equality and mutual benefit:

Article 1 price

1. The price of commodities:

Purchase price: Party B shall be 1, ex factory price 2, wholesale price 3, supply price, and give unilateral discount.

Selling price: it is decided by Party A according to the suggested retail price and market price provided by Party B.

Two, Party B shall submit to Party A a price list of the company's official seal.

If Party B increases the price of the commodity, it must inform Party A 5 days ahead of time by sending a written notice of "change of quotation of commodity price" to Party A, and after the written confirmation of Party A, the new commodity quotation can be executed. Otherwise, Party A shall still have the right to issue the order sheet to Party B at the agreed price of the original commodity quotation, and Party B still has the obligation to supply to Party A at the agreed price of the original commodity quotation.

Three.

Party A shall submit a quotation for fresh food containing the official seal of Party B to Party A.

If Party B increases the price of the commodity, it must notify Party A in advance of the written notice of change of commodity price in advance by the company of the company, and execute the new commodity quotation according to the written confirmation of the order. Otherwise, Party A shall still have the right to issue the order form to Party B at the agreed price of the original commodity quotation, and Party B still has the obligation to supply the supplier at the agreed price of the original commodity quotation.

Four, Party B guarantees that goods can not be supplied to Party A at a price higher than that of the goods sold to the same level supermarkets in the area.

If Party B sells the same products to the same grade supermarkets at the lower prices or more favourable conditions of the commodity quotations provided by Party A to Party A, Party A shall have the right to reduce the commodity prices to Party B's orders according to the lowest price of the same commodity sold by Party B to the same category of supermarkets at the same level, and accordingly calculate the amount of payment to Party B. if the payment has been made, Party B will refund the payment to the party a lot due to the above price discrepancy, or Party A shall deduct from the other payment which has not yet been paid.

Second article

First, Party A will submit the order form for each specific commodity according to the commodity quote information provided by Party B. the terms of order, specifications, quantity, packing, price, delivery place, delivery time and other terms are specified on the order sheet.

Two, Party A has the right to withdraw or amend the order within 3 working days after the order is issued.

Three, if Party B has any objection to the terms and conditions of the order list after receiving the order, it shall notify the party a written notice within 3 days from the date of receipt of the order. The written notice is deemed to be a complete agreement with the order form.

Third commodity requirements

The commodities purchased by Party A to Party B include the commodity itself and its packaging, brief introduction, instructions for use, warning instructions, guarantee (repair) books, after sale service cards and other related information and the accompanying obligations of such commodities.

The commodities and sales provided by Party B to Party A conform to the laws and regulations of the state, conform to the national, regional, industrial standards and other standards or samples recognized by both parties, and are fully in line with the requirements of this contract and Party A's order, and guarantee:

Product quality

1, there is no danger of endangering personal and property safety, which is in line with national standards and industry standards for safeguarding human health and personal and property safety.

2, have the performance that the product should have, and explain the defects of the product's performance.

3, conform to the product standards specified in the product or its packaging, and conform to the quality status shown in advertisements, product descriptions, physical samples, etc.

Two. The logo on the product or product package is authentic and meets the following requirements:

1, there is a product quality inspection certificate.

2. Name of the product marked in Chinese, factory name and site.

3. According to the characteristics and requirements of the products, the product specifications and grades should be marked, and the names and contents of the main components should be specified in Chinese.

4. The products used within the time limit shall clearly indicate the production date, safe use period or expiration date in a marked position.

5, products with improper usage, which may cause damage to the product itself, or may endanger the safety of the person and property, shall have warning signs or Chinese warning instructions.

Three, Party B guarantees that there is no fraud.

2, producing goods that are explicitly eliminated or selling goods that are invalid or deteriorating.

3, forge the origin of commodities, forge or falsely use others' factory names, site, forgery or fraudulent use of certification marks, name and excellent logo and other quality marks.

4, the commodities sold shall be inspected, quarantined, not inspected, quarantined or forged, and the results of quarantine inspection shall be made.

Four, Party B finds that there are serious defects in the goods or services it provides. Even if proper use or acceptance of services may cause harm to the safety of personal and property, it guarantees to inform Party A immediately and take measures to prevent hazards.

Five, B provides consumers with information about goods or services that are true, without misleading false propaganda, and does not publish false advertisements, deceive or mislead consumers, so that the legitimate rights and interests of consumers who purchase goods or receive services are impaired.

Six. The food provided by Party B is in line with the hygienic standard. The main and auxiliary foods specially provided for infants and young children are in accordance with the nutrition, hygienic standard, food additives, food containers, packaging materials and food tools, equipment and detergents, and disinfectants meet the hygienic standard and hygiene management regulations.

Seven, the goods provided by Party B do not infringe upon others' patents and infringe upon others' patent rights by imitating patent products with non patented products, posing as patent methods by non patent methods.

Eight, the goods provided by Party B do not infringe upon the copyright or copyright related rights of others.

Nine, imports:

1, the import commodities provided by Party B must be provided to Party A with the regulatory certificate issued by the entry exit quarantine bureau of China, and at the same time, the customs health inspection qualification certificate and the commodity inspection report shall be provided.

2, Party B must provide People's Republic of China entry exit inspection and quarantine hygiene certificate, and each batch of goods should have corresponding hygiene schedule.

3, each minimum package must be affixed to the import commodity health inspection and inspection mark (CIO logo), and according to the relevant regulations of the state, the detailed product description, agent name, address and telephone number are affixed to the commodity packaging.

Ten. If the place of origin provided by Party B belongs to the area outside the company, except to provide Party A with relevant local certificates and test reports, it shall also provide Party A with sales certificate and inspection report of relevant inspection units.

Eleven, all goods supplied by Party B shall be printed with bar code and Chinese logo conforming to the state regulations.

And if Party B delivers the goods to Party A's designated place, the outer package of the goods has been printed or affixed with the available bar code and Chinese logo that conform to the state regulations. If Party B fails to complete the work when the goods are sent to Party A's designated place, Party A has the right to refuse to accept the goods.

Twelve, all goods provided by Party B are clean, neat, well packed, suitable for sale, and no packaging must be damaged or wet and discolouration when delivering goods. If goods with quality guarantee period are greater than six months, when the goods are delivered to Party A's designated place of receipt, the time limit for the expiration date of the commodity from the expiration date shall not be less than half of the warranty period. Otherwise, Party A has the right to refuse to accept it. If the commodity shelf-life is less than six months, it shall not be less than 2/3 of its shelf-life, otherwise Party A has the right to refuse to accept it.

Thirteen. Party B infringes on the safety and right to know of the person and property of the consumer in violation of the commitments of the first to the tenth paragraph, and the consumer will claim compensation to Party A for the purchase of the goods, with the use of the goods provided by Party B to the Party A, and other legal rights and interests, and Party A shall have the right to recover from Party B after compensation.

The amount of Party A's recovery includes: (1) the total amount of Party A's compensation to consumers; (2) all expenses incurred by Party A for compensation, including but not limited to: Commodity repair fee, refund of goods pportation fees, appraisal fees of the appraisal department, inspection fees of the inspection and quarantine department, arbitration fees, litigation costs, lawyer fees, travel expenses and pportation expenses.

(3) the interest time for the interest paid by Party A is calculated from the date of each capital expenditure, and the interest rate is calculated by 300% of the bank's lending interest rate at the same time.

If it affects the business reputation of Party A and leads to the reduction of passenger traffic and the decrease of sales, Party A shall have the right to claim damages from Party B for the losses suffered thereby.

Fourteen, Party B's breach of the promise of third, sixth, seven, eight, nine and ten of this article will result in the goods supplied to Party A seized by the state law enforcement authorities, sealed up and confiscated. Party A has the right to ask Party B to return the goods that have been paid, and stop paying all the goods that have not been paid to Party B, and ask Party B to compensate the party for all losses.

Fifteen, Party A has the right to make regular or irregular spot checks on the sanitary conditions, pport conditions and product quality of Party B providing fresh food.

If Party B's food production and operation process is not consistent with food additives, food containers, packaging materials and food utensils, equipment, etc.
